Max was speechless, the corner of his lips was twitching as he didn't understand the workings of this woman's brain.
Wouldn't according to routine she arrogantly say what he wants and he put forward some preposterous demand, which she for some reason accepts thinking she can't lose.
Then of course she would lose and then he get to enjoy the benefits but she is not playing according to the routine.
'I guess only against the protagonist these situations happen.'
Max became a little dejected as he come to the conclusion that these benefits only reserved for the protagonist.

Tess saw that Max did not move to attack then thought that there is really not enough reason for him to do so.
She knows his family and him are having issues, His company is on verge of bankruptcy, his love life is in the treach as all this is public knowledge.
So she thought of giving him these promises this way, not only there is incentive for him to beat her but also this ties him to her family.
After all, her family appreciates the strongest, talented individuals. If he can beat her then he proved himself and so it's good for her family to have him beside them.
